Frequently Asked Questions
Find answers to the most common questions about starting and operating a business in Bulgaria.
Common questions
Can the company formation process be completed remotely?
Most of it — but not all. We start with an online consultation, followed by a single visit to Bulgaria for notarisation and bank onboarding. We do not promote fully remote setups: proper identification and AML/KYC procedures protect both you and your company.
How long until the company is registered?
About 2–3 business days after all required documents have been prepared and submitted.
Can you open the bank account?
We prepare the required documentation, facilitate the introduction to the bank, and coordinate the onboarding process. Final approval and account opening are always at the bank’s discretion.
What will it cost?
Company incorporation assistance is charged as a one-time fee, while accounting services are provided for a fixed monthly fee. All fees are quoted in writing in advance. Any services outside the agreed scope are confirmed with you before we proceed.
Will my home tax office accept it?
That depends on business substance, not registration documents alone. We advise you on the appropriate structure and compliance requirements — and give you a clear assessment of whether Bulgaria is the right fit for your business.
Do I need to live in Bulgaria to own and manage the company?
No. A Bulgarian limited company may be established by one or more owners and managed by one or more directors. The minimum requirement is one person, who may act as both the sole owner and the director, with no restriction on that person being a foreign national.
One visit to Bulgaria is required for the company formation process and bank account opening. After registration, no further residence or travel requirements apply unless your business activities require your presence.
Which type of company should I set up?
For most small and medium-sized businesses, the most suitable structure is a limited liability company – Ltd (OOD or EOOD). The minimum required capital in Bulgaria is €1.
Other legal forms, including branches and representative offices, may be appropriate in specific cases. We assess your business needs and recommend the appropriate legal structure during the initial consultation.
What’s included in the company incorporation assistance?
Our Legal Department prepares all required incorporation documents and submits the application to the Bulgarian Commercial Register. The registration itself is completed by the Registry Agency.
We also assist with a registered office, bank introduction, Certificate of Good Standing, VAT and EORI registration, as well as all other practical steps required to make your company fully operational and ready to do business in Bulgaria.
Once the company is registered with the assistance of our Legal Department, our accounting team can take over its ongoing accounting and tax compliance in Bulgaria.
Do I need VAT registration to trade internationally?
A Bulgarian company supplying services to VAT-registered businesses in other EU countries must register for VAT before making its first such supply. For services and goods sold to customers outside the EU, the VAT treatment depends on the transaction and the customer’s location.
Online stores selling to EU consumers may also need OSS registration once cross-border B2C sales exceed the EU-wide €10,000 threshold. We assess your business model and arrange the appropriate VAT and OSS registrations from the outset.
Can I register as a freelancer instead of setting up a company?
Yes. We assist EU citizens with registering as freelancers in Bulgaria, including obtaining the required residence and tax identification, social security registration, a registered address, and a bank introduction.
Depending on the individual’s circumstances, the overall effective tax burden may be approximately 7.5%.
Your presence in Bulgaria is required for approximately 2–3 business days.
Company Formation
Can you help me establish a company in Bulgaria?
Yes. We manage the entire company incorporation process, including preparing the corporate documents, coordinating the filing with the Bulgarian Commercial Register, and guiding you through each stage until your company is ready to operate.
Do I need a Bulgarian partner or local shareholder?
No. There is generally no requirement to have a Bulgarian shareholder or business partner in order to establish a company in Bulgaria. Foreign individuals and companies may own 100% of a Bulgarian limited liability company.
How long does company registration take?
Once all required documents have been prepared and signed, registration is usually completed within several business days. Additional procedures, such as bank onboarding or VAT registration, may require additional time.
What documents are required to establish a company?
The required documents usually include identification documents, proof of address, information about the shareholders and directors, the proposed company name, the registered office address, the planned business activity, and the share capital.
Do you provide a registered office address?
Yes. We provide registered office and correspondence address services in Bulgaria under a separate annual service agreement.
Can you help with opening a corporate bank account?
Yes. We assist with bank introduction, document preparation, and communication with selected banks or payment institutions throughout the onboarding process. The final decision to open the account always rests with the financial institution.
Can you help me open a Revolut Business or another online business account?
Yes. We can guide you through the application process and assist with the required documentation, subject to the provider’s eligibility criteria and compliance requirements.
What are the ongoing obligations after the company is established?
Depending on the company’s activities, ongoing obligations may include accounting, tax compliance, annual financial reporting, payroll, VAT, statistical reporting, and corporate compliance. Even companies with limited or no activity may still have certain statutory reporting obligations.
Can you help with changes to an existing Bulgarian company?
Yes. We assist with share transfers, changes of directors, changes of registered office, amendments to the articles of association, increases or reductions of share capital, and other corporate changes.
Can I buy an already registered company?
Yes. We assist with the acquisition of existing Bulgarian companies, including the preparation of the required corporate documents, the transfer procedure, and the related corporate registrations.

As a general rule, salaries, payroll taxes, and social security contributions must be paid no later than the 25th day of the following month, subject to the applicable statutory deadlines.

Yes. We provide professional consultations on Bulgarian accounting, corporate taxation, VAT, payroll, and the tax treatment of specific business transactions. Our advice is tailored to your business model and commercial objectives.

Licenses and Regulatory Compliance
Can you help determine whether my business needs a license?
Yes. We review your planned business activity and assess whether a licence, registration, permit, notification, or other sector-specific approval may be required under Bulgarian legislation.
Which business activities require a licence in Bulgaria?
Licensing requirements depend on the sector. They commonly apply to activities such as transport, financial services, employment agencies, energy, healthcare, food and beverage businesses, alcohol and tobacco, tourism, and other regulated professions.
Can you obtain the licence on my behalf?
We assist with preparing the application, coordinating the supporting documentation, and communicating with the competent authority throughout the procedure. Certain licensing processes may also require your direct involvement or the participation of qualified professionals, depending on the applicable legal requirements.
Should I register the company before applying for a licence?
In many cases, yes. A Bulgarian company must first be established before the licensing procedure can begin. Depending on the activity, additional requirements may apply, such as minimum capital, suitable premises, qualified personnel, professional competence, or specific technical resources.
What documents are normally required for a licence application?
The required documents vary depending on the regulated activity. They may include corporate documents, declarations, proof of professional qualifications, financial information, criminal record certificates, business plans, internal procedures, insurance, and evidence of suitable premises or equipment.

Not necessarily. Depending on the activity, additional registrations, premises approvals, employment arrangements, insurance, equipment, or other sector-specific requirements may need to be completed before operations can begin.
Do licences need to be renewed?
Some licences are granted without a fixed expiry date, while others require renewal, periodic reporting, fee payments, or continued compliance with specific legal requirements. We can help you monitor the applicable ongoing obligations.

Are the tax residency rules different for EU and non-EU citizens?

Will Bulgaria tax my worldwide income?
In general, Bulgarian tax residents are subject to Bulgarian taxation on income from both Bulgarian and foreign sources, subject to any applicable exemptions and relief available under applicable double tax treaties.
Do I need to file an annual tax return in Bulgaria?
This depends on your tax residency status, the type of income you receive, any applicable exemptions, and whether tax has already been withheld. We can review your individual circumstances and confirm your filing obligations.
Can you assist with both residence and tax residency?
Yes. We assist with the immigration process and separately assess the resulting personal tax, social security, and reporting obligations to ensure your structure remains fully compliant.
Freelancer Registration and Accounting
Can I register as a freelancer in Bulgaria instead of setting up a company?
Yes. Depending on your profession and business activity, registering as a freelancer or self-employed professional may be a suitable alternative to establishing a company. During the initial consultation, we assess which structure best fits your circumstances.
Who can register as a freelancer in Bulgaria?
Freelancer registration may be suitable for individuals providing professional, consulting, IT, marketing, creative, and other independent services. The appropriate registration depends on the nature of the activity and the individual’s residence status.
How long does freelancer registration take?
The registration can usually be completed within several business days once all required documents and information are available.
What documents are required for freelancer registration?
The required documents normally include identification, proof of address, information about your professional activity and, for certain regulated professions, evidence of qualifications or professional competence.
Do freelancers need an accountant?
Yes. Freelancers generally require accounting support to maintain the required records, calculate taxes and social security contributions, and prepare and submit their annual personal income tax returns.
Do freelancers pay social security contributions?
Yes. Self-insured individuals generally pay monthly social security and health insurance contributions based on their selected insurable income within the statutory limits.
Do I need VAT registration as a freelancer?
VAT registration may be required once the applicable statutory threshold is reached or in certain cross-border transactions, including services provided to VAT-registered businesses in other EU Member States. We assess your activities and advise whether VAT registration is required.
Can a freelancer hire employees?
Yes. Freelancers may hire employees, subject to the applicable employment, payroll, tax, and social security requirements. As the business grows, establishing a company may become the more appropriate legal structure.
Can I switch from freelancer status to a company later?
Yes. As your turnover, team, business activities, or commercial risks grow, we can assist with establishing a company and ensuring a smooth transition of your business to the new structure.
Company Liquidation
Can you assist with closing a Bulgarian company?
Yes. We assist with the entire liquidation process, including the preparation of the required corporate documents, coordination of the legal, accounting, tax, and Commercial Register procedures, and guidance through each stage until the liquidation is completed.
Can a company be closed if it has never traded?
Yes. An inactive company can be liquidated. Before the procedure begins, its accounting, tax, and statutory reporting obligations should be reviewed and, where necessary, brought fully up to date.
How long does company liquidation take?
The liquidation procedure generally takes up to 9 months, as Bulgarian law requires a statutory period during which creditors may submit claims before the company can be finally deleted from the Bulgarian Commercial Register.
Do I need to be in Bulgaria during the liquidation?
In many cases, the procedure can be completed remotely using properly prepared and notarised documents. Depending on the circumstances, personal attendance may still be required for certain steps.
What is included in the liquidation service?
Depending on the circumstances, the service may include:
- preparation of the required corporate documents;
- appointment of a liquidator;
- Commercial Register filings;
- notifications to the competent authorities;
- accounting and tax closure;
- preparation of the final liquidation documentation; and
- deletion of the company from the Bulgarian Commercial Register.
Who can act as the liquidator?
The liquidator is appointed by the company’s owner or shareholders and is responsible for settling the company’s affairs, collecting receivables, paying liabilities, distributing the remaining assets where applicable, and representing the company throughout the liquidation procedure.
Can the current director act as the liquidator?
Yes. In many cases, the current director or shareholder may also be appointed as liquidator, provided that the applicable legal requirements are met.
Does the company need accounting during liquidation?
Yes. The company continues to have accounting, tax, and statutory reporting obligations until it is formally deleted from the Bulgarian Commercial Register.
Can a company be liquidated if it has outstanding liabilities?
Outstanding liabilities must first be identified and addressed as part of the liquidation process. Where the company is unable to satisfy its obligations, another legal procedure, such as insolvency, may be more appropriate.
What happens to the company’s bank account?
The bank account is generally maintained during the liquidation process to allow outstanding payments, liabilities, and any final distributions to be completed. It is normally closed before the liquidation is finalised.
What happens to the company’s remaining assets?
Once all liabilities, taxes, and liquidation expenses have been settled, any remaining assets may be distributed to the shareholders in accordance with the applicable legal requirements.
Can a company continue trading during liquidation?
Generally, no. During liquidation, the company should carry out only those activities necessary to complete existing obligations, realise its assets where appropriate, and bring its affairs to an orderly conclusion. It should not undertake new business activities unrelated to the liquidation.
When is the company officially closed?
A company is officially closed only after the liquidation has been completed and it has been deleted from the Bulgarian Commercial Register.
Can you review the company before starting the liquidation?
Yes. Before the liquidation begins, we can review the company’s corporate, accounting, and tax status and identify any outstanding filings, liabilities, compliance issues, or missing documents that should be resolved first.
Can you liquidate a company owned by a foreign shareholder?
Yes. We regularly assist international clients with the liquidation of Bulgarian companies. Most of the procedure can usually be completed remotely, depending on the specific circumstances.
Global Mobility
What do Global Mobility Services in Bulgaria include?
Global Mobility Services in Bulgaria address the tax, social security, immigration, employment and payroll implications arising when employees, directors or other professionals work across national borders. The exact scope depends on the individual arrangement and may include assignment planning, tax residence analysis, personal tax filings, A1 assistance, payroll coordination, immigration support and employer risk assessment.
When should a company seek global mobility advice?
Ideally, before the employee starts working in the other country. Early assessment allows the employer to identify tax, social security, payroll, immigration and corporate risks before obligations or filing deadlines arise. Advice may also be required when an existing working arrangement changes or has already begun without a formal review.
Does spending more than 183 days in Bulgaria automatically make an employee a Bulgarian tax resident?
Not necessarily. The number of days spent in Bulgaria is important, but tax residence is determined by applying Bulgarian domestic law and, where relevant, the applicable double tax treaty. Permanent home, centre of vital interests and other circumstances may also need to be considered.
What is an A1 certificate?
An A1 certificate confirms which EU or EEA country’s social security legislation applies to a person working temporarily or simultaneously across borders. We assess the circumstances, assist with the application and coordinate the process. The certificate itself is issued by the competent social security institution.
Does a remote employee working from Bulgaria create a permanent establishment for the foreign employer?
Not automatically. The risk depends on the employee’s role, authority, activities, working arrangements and the relevant tax treaty. Each case should be reviewed individually to determine whether the employer may have a taxable presence, registration obligations or other compliance exposure in Bulgaria.
Is Bulgarian payroll always required for an employee working in Bulgaria?
No. The correct payroll treatment depends on the employment structure, the location of the employer, the applicable tax and social security rules and the nature of the assignment. In some cases, Bulgarian payroll, shadow payroll or another local reporting arrangement may be required.
Can ZaraConsult assist with immigration and work authorisation?
Yes. We provide practical assistance with immigration and work authorisation requirements and coordinate the relevant procedures with qualified legal or immigration specialists where necessary. Applications are considered and permits are issued by the competent Bulgarian authorities.
Can you support employees moving from Bulgaria to another country?
Yes. We assist Bulgarian businesses and international groups with outbound assignments, including assignment planning, Bulgarian tax and social security analysis, A1 assistance, payroll coordination and liaison with advisers in the host country.
We are always here to help you!
